When you provide information through our website forms, you consent to receive communications from PayVault Secure via email, text, and other channels as detailed in our Privacy Policy. You can opt out of these communications at any time using the methods described in the Privacy Policy.  

You agree to use our Services lawfully and in accordance with these Terms of Use. Specifically, you agree not to:  

• Violate any applicable laws or regulations, whether local, national, or international  
• Engage in activities involving illegal goods or services, such as drugs, stolen items, weapons, or other prohibited items  
• Send or facilitate the sending of unauthorized promotional materials, including spam, chain letters, or junk mail  
• Impersonate PayVault Secure, its employees, other users, or any individual or organization

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Services will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data.  

TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.  

YOUR USE OF THE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK. THE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER PAYVAULT NOR ANY PERSON ASSOCIATED WITH PAYVAULT MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL PAYVAULT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.  

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless PayVault Secure, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, suppliers, successors, and assigns from any claims, damages, liabilities, costs, expenses, or losses (including reasonable attorneys' fees) arising from your violation of these Terms of Use or misuse of the Services. This includes, but is not limited to, your User Contributions, any unauthorized use of content, services, or products provided by the Services, or any misuse of information obtained through the Services.

We may update or modify these Terms at our sole discretion at any time. If changes are significant, we will provide at least 30 days' notice before the new terms take effect. What qualifies as a significant change will be determined by us.  

By continuing to use our Services after the updated terms take effect, you agree to follow the revised Terms. If you disagree with the new terms, you must discontinue using the Services.  

These Terms are governed by and will be interpreted according to the laws of the State of Florida, United States, without regard to its conflict of law rules.  

Our failure to enforce any provision of these Terms does not waive our right to enforce that or any other provision. If any portion of these Terms is deemed invalid or unenforceable, the rest of the Terms will remain in full effect. These Terms represent the complete agreement between you and PayVault Secure regarding the Services, replacing any prior agreements.  

We reserve the right to suspend or terminate your account and restrict access to the Services at any time, without prior notice or liability, for any reason, including violations of these Terms.  

If you wish to terminate your account, you may stop using the Services. However, for active merchant accounts or ongoing services, contact our support team to ensure proper account closure and resolution of outstanding matters.  

Certain provisions of these Terms, such as ownership rights, warranty disclaimers, indemnity, and limitations of liability, will remain effective even after termination.  

You may not transfer or assign these Terms or your rights under them without prior written consent from PayVault Secure. We reserve the right to assign these Terms or our rights under them at any time, without notice or consent, to any entity.  

Any unauthorized assignment by you is void. These Terms will bind and benefit both parties and their successors or permitted assigns.  

If any part of these Terms is considered unlawful, void, or unenforceable, that portion will be removed from the Terms, but the remaining provisions will stay valid and enforceable.  

These Terms of Use, together with our Privacy Policy, constitute the full agreement between you and PayVault Secure regarding the Services. They replace all prior agreements, understandings, or representations related to the Services, whether written or oral.  

If PayVault Secure fails to enforce any part of these Terms, it does not mean we waive our right to enforce that provision or any other provision in the future. No waiver will be deemed ongoing unless explicitly stated in writing.

The headings in these Terms of Use are provided for convenience only and do not carry any legal or contractual significance.  

BY USING PAYVAULT SERVICES, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE. YOU ALSO AGREE TO RECEIVE MARKETING COMMUNICATIONS AS OUTLINED IN OUR PRIVACY POLICY. FURTHERMORE, YOU ACKNOWLEDGE THAT THESE TERMS OF USE, ALONG WITH OUR PRIVACY POLICY, CONSTITUTE THE ENTIRE AGREEMENT BETWEEN YOU AND US, OVERRIDING ANY PRIOR AGREEMENTS, COMMUNICATIONS, OR PROPOSALS, WHETHER WRITTEN OR VERBAL, RELATED TO THIS SUBJECT.
